1. Who we are and acceptance

The website bitpixel.net, the BitOne software-as-a-service platform available at one.bitpixel.net (“BitOne”) and the professional services marketed under the BitPixel brand are provided by ARCII México, Inc. (“Grupo ARCII”), a company organized under the laws of the United Mexican States (Mexico), domiciled at Av. Javier Barros Sierra 495, Santa Fe, Álvaro Obregón, 01219 Ciudad de México, CDMX, Mexico (“BitPixel”, “we”, “us” or “our”).

By visiting the website, creating a BitOne account, choosing or paying for a plan, or signing a proposal with us, you accept these Terms of Service (the “Terms”), our Privacy Policy, our Acceptable Use Policy and, where applicable, our Cancellation & Refund Policy and Data Processing Addendum, all of which are incorporated by reference. If you do not agree, do not use our services.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind it, and “you” refers to that entity. You must be at least 18 years old (or the age of legal majority where you live) to use our services. Our services are intended for business and professional use.

2. Definitions

  • “Services” means the website, BitOne and any Professional Services.
  • “Customer” means the person or entity that creates a BitOne account or contracts Professional Services.
  • “Authorized User” means an individual the Customer allows to use its BitOne account (employees, contractors, accountants).
  • “Customer Data” means all data, documents and content that the Customer or its Authorized Users submit to BitOne, including data about their own customers, suppliers, employees and document signers.
  • “Plan” means the BitOne subscription tier (for example Starter, Pro or Enterprise) with the modules, usage limits and price shown at the time of purchase.
  • “Professional Services” means custom software development, web development, CRM/ERP implementation, technology consulting, cybersecurity assessments and related services described in a proposal, quote or statement of work (“SOW”).

3. Our services

Website. The content on bitpixel.net is provided for general information about our company and offerings. It does not constitute a binding offer; prices and features may change before you purchase.

BitOne. BitOne is a modular, cloud-based business management platform (CRM, billing, purchasing, inventory, accounting, human resources and electronic signature). We may improve, modify or discontinue features over time; if we materially reduce the core functionality of a paid Plan during a period you have already paid for, you may cancel and receive a prorated refund of the unused portion.

Professional Services. Custom projects are governed by these Terms together with the applicable proposal or SOW. If they conflict, the SOW prevails for that project only.

4. Accounts and security

You must provide accurate, current and complete registration information (including your company’s legal name and tax identification number where requested) and keep it updated. You are responsible for all activity under your account, for the actions of your Authorized Users and for configuring roles and permissions appropriately.

Keep your credentials confidential and use strong passwords. Notify us immediately at [email protected] if you suspect unauthorized access. We are not liable for losses caused by the unauthorized use of credentials that you failed to protect.

5. BitOne plans, trials and payment

Plans and limits. Each Plan includes the modules and usage limits (for example users, branches, warehouses, documents per month and signature envelopes per month) shown on our pricing page at the time of purchase. BitOne enforces these limits automatically.

Free trials. We may offer a free trial of a Plan (currently 7 days). No payment is required to start a trial. At the end of the trial, access to paid features requires purchasing a Plan; we will not charge you automatically when a trial ends.

Prices and currency. List prices are expressed in U.S. dollars (USD). Payments are processed by Mercado Pago and, unless the checkout states otherwise, are charged in Mexican pesos (MXN) using the exchange rate displayed at checkout before you confirm the payment. Your bank or card issuer may apply its own conversion fees. Prices exclude taxes unless stated; applicable taxes (such as Mexican IVA, VAT or sales tax) may be added as required by law.

Billing periods — no automatic renewal. Plans are paid in advance for a monthly or annual period. Annual billing gives 12 months of service for the price of 11. BitOne does not renew or charge you automatically: to continue using a paid Plan after the end of a period, you must pay for the next period before it ends. If a period ends unpaid, your account may be marked as past due, access may be restricted, and the account may later be suspended (see Suspension and termination).

Plan changes and price changes. You may move to a higher Plan at any time; the new Plan applies from the payment of the corresponding period. We may change prices for future periods by giving at least 30 days’ notice on our website or by email; price changes never affect a period you have already paid for.

Payment processor. We do not receive or store your full card details. Payment data is handled by Mercado Pago under its own terms and privacy policy. Chargebacks filed without first contacting us may result in suspension of the account while the dispute is resolved.

6. Cancellation and refunds

You may stop using BitOne at any time; because there is no automatic renewal, simply not paying the next period ends your subscription, and you may also ask us to close your account. Your paid access continues until the end of the period already paid. Except as stated in our Cancellation & Refund Policy or where mandatory consumer law grants you a right of withdrawal or refund, payments are non-refundable and partial periods are not credited.

7. Customer Data

Ownership. As between you and us, you own all Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process and display Customer Data solely to provide, secure and support BitOne, and as required by law.

Your responsibilities. You are solely responsible for the accuracy, legality and quality of Customer Data and for having a valid legal basis, notices and consents to collect and process the personal data of your customers, suppliers, employees and signers in BitOne. You act as the data controller (responsable) of that information and we act as your processor (encargado) under our Data Processing Addendum.

Export and deletion. While your account is active you can download your documents and records. After your account is cancelled or suspended for non-payment, we keep Customer Data for 90 days so you can reactivate or request an export; after that period we delete it from active systems, and residual copies in backups are overwritten in the ordinary backup cycle, unless we must retain information to comply with a legal obligation.

Backups. We perform backups for disaster recovery, but BitOne is not a substitute for your own records-retention obligations. You are responsible for keeping copies of documents you are legally required to preserve.

8. Acceptable use

You must use the Services in compliance with applicable law and our Acceptable Use Policy. Among other things, you may not resell or sublicense BitOne without our written consent, attempt to access other customers’ data, probe or test the security of the Services without written authorization, reverse engineer the software (except where the law expressly permits it), or use the Services to send spam or unlawful content.

9. Electronic signatures

BitOne’s electronic signature module lets you send documents for signature and records an audit trail (IP address, device, timestamps and a SHA-256 fingerprint of the original document) together with a completion certificate.

  • Type of signature. BitOne provides simple electronic signatures. It is not a qualified trust service under the EU eIDAS Regulation, does not issue Mexican advanced electronic signatures (e.firma/FIEL) and is not a certified NOM-151 data-message preservation service, unless we expressly state otherwise in writing.
  • Legal effect. Many legal systems recognize electronic signatures — including the U.S. E-SIGN Act and the Uniform Electronic Transactions Act, the EU eIDAS Regulation (Regulation (EU) No 910/2014, Art. 25), the Mexican Commercial Code (Arts. 89 to 114) and the electronic-signature laws of other Latin American countries. Whether a particular document can be validly signed electronically depends on its type and jurisdiction.
  • Your responsibility. You are responsible for determining whether a simple electronic signature is appropriate for each document, for identifying signers, and for not using BitOne for documents that require a handwritten, notarized, qualified or advanced signature (for example wills, certain real-estate deeds, family-law documents or notarial acts).

10. Accounting, tax, payroll and legal features

BitOne’s billing, accounting, payroll and tax-ID features are tools, not professional advice. Default rates (for example payroll contribution percentages) and journal-entry templates are configurable examples that you must review with a qualified accountant or adviser for your jurisdiction.

Unless we expressly state otherwise, documents generated by BitOne are not electronic invoices certified by a tax authority (such as Mexico’s CFDI stamped by an authorized PAC, or electronic invoices authorized by the SRI in Ecuador, SUNAT in Peru or DIAN in Colombia). You remain responsible for your tax, accounting, labor and social-security obligations.

11. Intellectual property

The Services, including the BitOne software, the website, designs, text, logos and the BitPixel and BitOne names, are owned by ARCII México, Inc. or its licensors and are protected by intellectual-property laws (including Mexico’s Federal Copyright Law and Federal Law for the Protection of Industrial Property, and international treaties). Except for the limited right to use the Services under these Terms, no rights are granted to you.

If you send us suggestions or feedback, we may use them without obligation to you.

12. Professional Services

  • Scope, fees and timeline are defined in the proposal or SOW you accept. Additional work outside that scope requires a written change request.
  • Deliverables. Unless the SOW says otherwise, upon full payment you own the custom deliverables created specifically for you. We retain ownership of our pre-existing tools, libraries, know-how and generic components, and grant you a perpetual, non-exclusive license to use them as part of the deliverables. Open-source components remain subject to their own licenses.
  • Acceptance. Deliverables are deemed accepted if you do not report material non-conformities in writing within 10 business days of delivery, or when you put them into production.
  • Security assessments are performed only on systems you own or are authorized to test, within the written scope you approve. You must obtain any third-party authorizations (for example from your hosting provider).

13. Third-party services

The Services rely on or link to third-party services such as Mercado Pago (payments), hosting and content-delivery providers, email delivery providers and font or icon libraries. Their use is subject to their own terms, and we are not responsible for third-party services we do not control.

14. Availability and support

We use commercially reasonable efforts to keep BitOne available and secure, but we do not guarantee uninterrupted or error-free operation. Planned maintenance will be scheduled, where possible, outside business hours. Unless a separate service-level agreement is signed, no uptime percentage or service credits apply. Support is provided by email; Enterprise plans include priority support and assisted onboarding.

15. Confidentiality

Each party will protect the other’s non-public business and technical information with at least reasonable care, use it only to perform under these Terms and not disclose it except to personnel and advisers who need to know it and are bound by similar duties, or when required by law. These obligations survive for 5 years after the relationship ends (indefinitely for trade secrets and personal data).

16. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement and that the Services will meet your specific legal, tax or regulatory requirements. Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable consumer-protection law.

17. Limitation of liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of their possibility.
  • Our total aggregate liability arising out of or relating to the Services is limited to the amounts you paid us for the Services giving rise to the claim during the 12 months before the event that caused it.
  • These limits do not apply to liability that cannot be limited by law, including liability for fraud, wilful misconduct (dolo) or gross negligence, death or personal injury, or to rights that consumers have under mandatory law.

18. Indemnification

You will defend and indemnify ARCII México, Inc., its affiliates and personnel against third-party claims, fines and reasonable costs arising from Customer Data, your breach of these Terms or the Acceptable Use Policy, or your violation of law or third-party rights, provided we promptly notify you of the claim and reasonably cooperate.

19. Suspension and termination

We may suspend or terminate access, with notice where reasonable, if (a) a period is unpaid, (b) you materially breach these Terms or the Acceptable Use Policy, (c) your use poses a security risk or may cause legal liability, or (d) we are required to by law or a competent authority. Where possible we will give you an opportunity to remedy the issue first.

You may terminate at any time by not renewing or by asking us to close your account. Sections on Customer Data export and deletion, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification and governing law survive termination.

20. Export controls and sanctions

You may not use the Services in violation of applicable export-control and economic-sanctions laws, including those of Mexico, the United States, the European Union, the United Kingdom and the United Nations, nor on behalf of persons on applicable sanctions lists.

21. Governing law and disputes

These Terms are governed by the federal laws of the United Mexican States, excluding conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before starting any proceeding, the parties will try in good faith to resolve the dispute through negotiation for 30 days after written notice to [email protected]. If unresolved, disputes will be submitted to the competent courts of Mexico City, Mexico, and each party waives any other jurisdiction that may correspond to it by reason of its present or future domicile.

Consumers. If you are a consumer, nothing in this section deprives you of the protection of the mandatory laws of your country of residence or of your right to bring a claim before its courts or consumer authorities. Consumers in Mexico may also turn to the Federal Consumer Protection Agency (PROFECO).

22. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days’ notice by email or within BitOne before they take effect; the new version will apply from your next billing period. Continued use after the effective date means you accept the changes. If you do not agree, you may stop using the Services before the change applies.

23. General terms

  • Entire agreement. These Terms and the documents they reference are the entire agreement on their subject and supersede prior understandings.
  • Severability. If a provision is held unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect.
  • Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or in a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control (excluding payment obligations).
  • No waiver. Failing to enforce a right is not a waiver of it.
  • Electronic communications. You agree to receive notices electronically; electronic acceptance of these Terms has the same effect as a handwritten signature, as permitted by the Mexican Commercial Code and equivalent laws.
  • Language. These Terms are written in English. If we provide a translation, the English version prevails, except where the law requires a version in another language to prevail for consumers.
